Section 34 of CAMA 2020 provides that where a company does not register its own articles, the model articles prescribed by the Minister shall apply by default.<\/p>\n<p>For a company limited by guarantee, the articles should address matters including:<\/p>\n<ul>\n  <li>The appointment, removal, and remuneration of directors;<\/li>\n  <li>The conduct of general meetings of members;<\/li>\n  <li>Voting rights of members;<\/li>\n  <li>The procedure for admitting and terminating membership;<\/li>\n  <li>Financial management and accounting requirements;<\/li>\n  <li>Amendment of the articles (requiring special resolution); and<\/li>\n  <li>Winding-up provisions.<\/li>\n<\/ul>\n\n<h3 id=\"statement-of-guarantee\">6.3 Statement of Guarantee<\/h3>\n<p>Section 38 of CAMA 2020 requires a statement of guarantee to be submitted, which must specify the amount that each member undertakes to contribute to the assets of the company in the event of winding up.
